目前中國民營企業(yè)IPO明顯出現(xiàn)了堰塞湖現(xiàn)象、經(jīng)營環(huán)境的惡化也使得很多民營企業(yè)越來越傾向于向外國投資者出售企業(yè)的控股權(quán)。與此同時(shí),很多跨國企業(yè)目前也正在加大在中國的戰(zhàn)略布局,早期的綠地投資模式已經(jīng)難以跟上快速擴(kuò)張的步伐,因此直接并購中國境內(nèi)比較成熟的民營企業(yè)成為了眾多跨國企業(yè)迅速占領(lǐng)中國市場的最佳選擇。而眾所周知的是,中國的民營企業(yè)或多或少有所謂的“原罪”現(xiàn)象,如何衡量和控制由此產(chǎn)生的并購風(fēng)險(xiǎn)因此成為主要的考量。另外,中國政府對(duì)外資并購境內(nèi)企業(yè)目前有眾多的審批要求,包括但不限于商務(wù)部門審批、外匯核準(zhǔn)(登記)、反壟斷審查、國家安全審查、稅務(wù)申報(bào)等等,如何將國際通行的并購操作和中國的政府審批實(shí)踐相結(jié)合,也在跨國公司在實(shí)施并購中必須面對(duì)和解決的問題。如何去解決這些主要的問題,則需要具有豐富經(jīng)驗(yàn)的并購顧問提供切合實(shí)際的戰(zhàn)略指導(dǎo)。
